• upload, post, email, transmit or otherwise make available any Content that you donot have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential informationlearned or disclosed as part of employment relationships or under non disclosure agreements);
• upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights, publicity rights, privacy rights or other rights of WNS Global Services, or any third party;
• upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising;
• upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt,destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• interfere with or disrupt the WNS Global Services Web Sites or servers or networks connected to the WNS Global Services Web Sites, or disobey any requirements, procedures,policies or regulations of networks connected to the WNS Global Services Web Sites;
• provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the Indian Government as a foreign terrorist organization;
• "stalk" or otherwise harass another user or third-party;
• collect or store personal data about other users or third party;
• send email in violation of any Indian Enactment or Statute for the time being inforce or any other applicable anti-"spam" law to WNS Global Services, or any third party;
• use any device, software or routine, including but not limited to any viruses, spyware, malware, trojan horses, worms, time bombs, cancel bots or denial-of-service attacks, intended to damage or interfere with the proper working of the WNS Global Services Web Sites or any transaction being conducted on our site, or to surreptitiously intercept or expropriate any system, data or personal information from the WNS Global Services Web Sites;
• "frame" or "mirror" the WNS Global Services Web Sites or any portion thereof;
• take any action that imposes an unreasonable or disproportionately large load onthe WNS Global Services infrastructure, including but not limited to "spam" or othersuch unsolicited mass emailing techniques;
• use the WNS Global Services Web Sites in any manner if you are a competitor of WNSGlobal Services, including without limitation soliciting Professional / Candidates, or Employees of WNS Global Services for any purpose whatsoever;
• resell or make available to any non-user any of the WNS Global Services’ services,the WNS Global Services Web Sites or any content on the WNS Global Services WebSites, or use the WNS Global Services Web Sites for any unlawful, commercial, research or information gathering purposes; or
• delete or revise any material posted by another User on the WNS Global Services Web Sites, access data not intended for you on the WNS Global Services Web Sites, or log into an account which you are not authorized to access.

WNS Global Services is under no obligation to monitor the conduct of Users on the WNS Global Services Web Sites or any materials posted thereon, but it may respond when violations are reported. You acknowledge and agree that Company has the right (but not the obligation) to monitor the WNS Global Services Web Sites including without limitation all postings by various Users. Without Prejudice to the WNS Global Services’ other rights as set forth in these Terms of Use, WNS Global Services reservesits right, with or without notice to the applicable User, to remove content posted by a User on the WNS Global Services Web Sites, remove any User from the WNS Global Services Web Sites, and/or take any other technical or legal action WNS Global Services deems necessary in the event that WNS Global Services believes, in its sole discretion, that the User is creating problems, possible legal liabilities, violating these Terms of Use, or otherwise acting inconsistently with the letter or spirit of WNS Global Services’ policies. WNS Global Services also reserves its right to reportany wrongdoing of which WNS Global Services becomes aware to the applicable governmentor law enforcement agencies or otherwise.

The WNS Global Services Web Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other messageor communication facilities designed to enable you to communicate with the publicat large or with a group (collectively, "Communication Services"), you agree touse the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:

• Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
• Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material containedin a file that is uploaded.
• Restrict or inhibit any other user from using and enjoying the Communication Services.
• Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
• Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
• Violate any applicable laws or regulations.
• WNS Global Services has no obligation to monitor the Communication Services. However, WNS Global Services reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. WNS Global Services reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
• WNS Global Services reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in WNS Global Services' sole discretion.
• Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. WNS Global Services does not control or endorse the content, messages or information found in any Communication Service and, therefore, WNS Global Services specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submissionas described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE WNS Global Services WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS.CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. WNS Global Services AND/OR ITS AUTHORIZED SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE WNS Global Services WEB SITE AT ANY TIME. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "ASIS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. This also includes, without limitation, the "look and feel" of the WNS Global Services Web Sites (including design, layout, color combinations, buttonshapes and other graphical elements), which is protected by WNS Global Services’ service marks, trade marks and copyrights.

You may not reproduce, reverse engineer, decompile, disassemble, modify or create derivative works of or with respect to the WNS Global Services related services, WNS Global Services Web Sites or the related intellectual property, and these Termsof Use do not grant you permission to do so. You may not reproduce, modify, display, sell or distribute the content on the WNS Global Services Web Sites or use it inany other way for public or commercial purpose. You agree to indemnify, defend, and hold harmless WNS Global Services and its affiliates, officers, directors, employees and agents from and against any and all claims, demands, actions, losses, costs, expenses (including without limitation reasonable attorneys’ and Professional / Candidates’ and consultants’ fees), damages or other liabilities, of any kind or nature, (collectively "Liabilities") which arise out of, result from, allege, or otherwise relate to:

(i) your use of the WNS Global Services Web Sites or the WNS Global Services’ related services
(ii) anyinformation, materials or content you post on the WNS Global Services Web Sites or otherwise provide to WNS Global Services or another User
(iii) your breach of these Terms of Use
(iv) any other act of commission and/or omission by you.

WNS Global Services reserves the right, in its sole discretion, to terminate your access to the WNS Global Services Web Site and the related services or any portion thereof at any time, without notice.

Use of the WNS Global Services Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and WNS Global Services as a result of this agreement or use of the WNS Global Services Web Site. WNS Global Services' performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of WNS Global Services'right to comply with governmental, court and law enforcement requests or requirements relating to your use of the WNS Global Services Web Site or information provided to or gathered by WNS Global Services with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the userand WNS Global Services with respect to the WNS Global Services Web Site and its upersedes all prior or contemporaneous communications and proposals, whether electronic,oral or written, between the user and WNS Global Services with respect to the WNS Global Services Web Site. A printed version of this agreement and of any noticegiven in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

Dispute Resolution
You here to agree, that all disputes and differences arising between them in connection with regard to usage of this site, content and/or any matter relating there to orarising there from or as to the interpretation thereof, shall be referred to the sole arbitration to be chosen by WNS Global Service, whose decision shall be finaland binding on You. You also agrees that they You shall have no objection to WNS Global Service choosing the sole arbitrator. The provisions of the Arbitration and Conciliation Act, 1996, shall govern the Arbitration proceedings. The Arbitration proceedings shall be in English and shall be conducted at Mumbai. The place of arbitration will be Mumbai.

Content on the site is for personal use only and may be downloaded provided the material is kept intact and there is no violation of the copyrights, trademarks, and other proprietary rights. Any alteration of the material or use of the material contained in the site for any other purpose is a violation of the copyright of WNS Global Services and / or its affiliates or associates or of its third-party information providers.
